Terms of Sale and Use

1. Purpose
These Terms of Sale and Use (the “Terms”) govern access to and use of the Perroly platform (the “Service”), an online social media management tool providing post scheduling, message centralization, automated replies and performance analytics on the connected platforms (Instagram, Facebook, LinkedIn, TikTok, YouTube). Any use of the Service implies full acceptance of these Terms.
2. Access to the Service
Access to the Service is reserved for people aged 18 or over holding a valid user account. Users are responsible for keeping their credentials confidential and for any activity carried out from their account.
Using the publishing, messaging and analytics features requires valid accounts on the social platforms concerned, and compliance with their respective terms of use.
3. Description of the Service
Perroly lets you connect third-party social media accounts and interact with them through their official interfaces: scheduling and publishing content, receiving and sending messages, automations, statistics and competitor monitoring, assisted by AI tools.
Perroly is committed to providing a high-performing and secure service, but does not guarantee any specific results in terms of performance, audience or engagement. Available features depend on the permissions granted by each third-party platform; Perroly cannot guarantee a feature that a third-party platform stops offering or restricts.
4. User obligations and prohibited uses
Users agree to use the Service in compliance with applicable laws and the policies of the connected platforms. They are solely responsible for the content published through the Service, the accuracy of the data provided and the decisions made based on the statistics or recommendations offered.
The following are prohibited: any illegal or fraudulent use or use infringing third-party rights; scraping, unauthorized automation or any form of hacking of the Service; reselling or making the Service available to third parties without authorization. Any breach may result in immediate suspension or termination of the account.
5. Pricing, subscription and payment
The Service may be offered under a freemium model: some basic features are available free of charge, while advanced features are subject to a paid subscription.
Current prices are displayed on the site at the time of subscription. Unless stated otherwise, prices are in euros, all taxes included. Payment is made by subscription, monthly or yearly, automatically renewed, through a secure and certified payment provider. Any price change will be notified at least 30 days before it takes effect. Users can manage, change or cancel their subscription from their account area.
6. Right of withdrawal
In accordance with Article L.221-28 of the French Consumer Code, the right of withdrawal cannot be exercised for digital content supplied immediately after subscription with the consumer’s express consent. Otherwise, consumers have 14 days from subscription to withdraw.
7. Term, suspension and termination
The subscription runs for the term chosen at sign-up. Users may cancel at any time from their account area; cancellation takes effect at the end of the current period.
Perroly reserves the right to suspend or terminate access to the Service in the event of a breach of these Terms, in particular fraudulent or abusive use or use contrary to the rules of the connected platforms.
8. Data upon termination
Upon cancellation of the subscription or downgrade to a lower plan, unpublished scheduled posts and automations linked to paid features may be deactivated or deleted. Perroly will not be able to recover deleted items; users are strongly advised to export or back up important content before cancelling.
Platform access tokens and related data are deleted under the conditions described in the Privacy Policy (no later than 30 days after account deletion).
9. Liability
Perroly acts as a technical intermediary between the user and the social platforms. It cannot be held liable for unavailability attributable to third-party platforms, changes to their interfaces, suspension of a social account by the platform concerned, force majeure, or non-compliant use of the Service. Results depend on many external factors beyond Perroly’s control.
In any event, Perroly’s liability is limited to the amounts paid by the user over the past 12 months.
10. Intellectual property
The Service, its brand, interface, code and all of its content (texts, visuals, logos) remain the exclusive property of Perroly or its partners. Use of the Service does not grant users any ownership rights.
Users retain full ownership of the content they publish through the Service and grant Perroly a limited license strictly necessary for its transmission to the connected platforms.
11. Personal data
The processing of personal data is described in our Privacy Policy, available from the site footer. By connecting their social accounts, users authorize Perroly to access the data necessary for the operation of the Service.
12. Changes to the Terms
Perroly reserves the right to modify these Terms. Users will be informed of any substantial change through online publication and, where applicable, by email or through the platform. Continued use of the Service after a change constitutes acceptance of the new terms.
13. Governing law and disputes
These Terms are governed by French law. In the event of a dispute, an amicable solution will be sought before any legal action. Failing agreement, the competent courts will be those of the publisher’s registered office. Consumers may also use a consumer mediator free of charge.
